By creating an account or using our services, trading journal and analytics platform, you agree to comply with these Terms of Service. If you do not agree with any part of these terms, please refrain from using our platform. Please read these Terms of Service carefully.

1. Acceptance of Terms

By accessing or using Reflectro ("the Services," "Platform," "we," "our," or "us"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Services.

• Content: Any data, text, notes, journal entries, trade records, screenshots, or other materials you upload or create

• Not be prohibited from using the Services under applicable law
• Provide accurate and complete registration information

Reflectro provides a comprehensive trading journal and analytics platform that includes:

2.1 Core Features

• Trading Journal: Record, organize, and analyze your trades with detailed notes, screenshots, and tags
• AI-Powered Analysis: Receive AI-generated insights on your trading patterns, performance, and areas for improvement
• Performance Analytics: Track statistics, win rates, profit/loss metrics, and trading patterns
• Strategy Management: Create, track, and analyze trading strategies and rules
• Calendar View: Visualize trading activity and performance over time
• Data Export: Export your trading data and journal entries

2.2 Beta and Experimental Features

Certain features may be released as beta, pilot, or early access versions. These features:

• Are provided "as-is" and may be incomplete or contain errors
• May be modified, suspended, or discontinued at any time without notice
• Should not be relied upon for critical trading decisions
• May have limited support or documentation

You acknowledge and accept all risks associated with using beta features. We encourage you to provide feedback to help us improve these features.

2.3 Service Availability

While we strive to provide uninterrupted service, we do not guarantee that the Services will be available at all times. We may:

• A worldwide, non-exclusive, royalty-free license to host, store, process, and display your Content
• The right to use your Content to operate, maintain, and improve the Services
• Permission to analyze your Content to generate AI insights and recommendations
• The right to use anonymized, aggregated data to improve our AI models and platform

If you provide testimonials, reviews, or feedback, you grant us permission to use them for marketing purposes without compensation or additional consent.

4. Financial Disclaimer

4.1 No Investment Advice

The Services, including AI-generated insights, are for informational and educational purposes only. You acknowledge that:

• We do not provide personalized investment advice or recommendations
• AI insights are based on patterns and algorithms, not professional financial analysis
• Past performance does not guarantee future results
• You should consult a licensed financial advisor before making trading decisions
• We are not responsible for any trading losses you incur

4.2 Trading Risks

Trading stocks, options, futures, forex, and other financial instruments involves substantial risk of loss. You acknowledge that:

• You may lose some or all of your invested capital
• Trading is not suitable for everyone
• You should only trade with money you can afford to lose
• Leveraged trading amplifies both gains and losses
• Market conditions can change rapidly and unpredictably

4.3 AI Limitations

AI-generated insights and analysis may be:

• Incomplete, inaccurate, or outdated
• Based on limited data or incorrect assumptions
• Subject to algorithmic bias or errors
• Not reflective of current market conditions

You are solely responsible for verifying information and conducting your own research before making any trading decisions.

4.4 Independent Judgment

You agree to:

• Use your own independent judgment when making trading decisions
• Conduct your own due diligence and research
• Not rely solely on AI insights or platform analytics
• Understand your own risk tolerance and financial situation
• Comply with all applicable securities laws and regulations

5. Payments and Subscriptions

5.1 Subscription Plans

Reflectro offers various subscription plans (monthly, yearly, or other billing periods) as described on our pricing page. By subscribing, you agree to pay the applicable fees.

5.2 Automatic Renewal

Unless you cancel before the end of your current billing period, your subscription will automatically renew for the same duration at the then-current rates. You authorize us to charge your payment method for renewal fees.

5.3 Refund Policy

All subscription fees are non-refundable. You affirm that you are the rightful owner of the funds used to purchase your subscription, and by subscribing, you acknowledge that payments are final.

If you believe you have a valid reason for a refund, you may contact us at reflectroteam@gmail.com to request consideration. All refund requests are reviewed on a case-by-case basis and are granted solely at our discretion. We are not obligated to issue refunds for any reason, including but not limited to dissatisfaction with the Services, failure to use the Services, or change of mind.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods.

5.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of price changes at least 30 days in advance.

5.6 Payment Methods and Processing

We use third-party payment processors (such as Stripe) to handle subscription payments. You agree to:

• Authorize charges to your payment method
• Update payment information if it changes or expires

6. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content or AI insights
• Uninterrupted or error-free operation
• Security or freedom from viruses or harmful components

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLECTRO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Trading losses or missed opportunities
• Business interruption or loss of goodwill
• Any damages arising from your use or inability to use the Services

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

6.3 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

• Natural disasters, pandemics, or acts of God
• War, terrorism, civil unrest, or government actions
• Internet or telecommunications failures
• Third-party service outages
• Cyberattacks or security incidents

6.4 Indemnification

You agree to indemnify, defend, and hold harmless Reflectro and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your infringement of any third-party rights

7. Termination and Data Retention

7.1 Termination by You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination:

• Your subscription will be canceled (without refund for partial periods)
• All your data will be permanently deleted immediately
• This action is irreversible — please export your data before deleting your account

7.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or our policies
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Services or other users
• Abuse our systems or support team

Upon termination by us, you will have 7 days to export your data before it is permanently deleted.

7.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. Sections that by their nature should survive termination will remain in effect, including: disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

8. Intellectual Property

The Services, including all software, algorithms, AI models, designs, text, graphics, and other content (excluding your User Content), are owned by Reflectro and protected by copyright, trademark, and other intellectual property laws.

You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer or attempt to extract source code or algorithms
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission
• Frame or mirror any part of the Services

9. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

10.2 Informal Resolution

Before filing any formal claim, you agree to contact us at reflectroteam@gmail.com to attempt to resolve the dispute informally. We will make a good faith effort to resolve the matter within 30 days.

10.3 Arbitration Agreement

If informal resolution fails, you agree that any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that:

• You may bring claims in small claims court if they qualify
• Either party may seek injunctive relief in court for intellectual property infringement

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) rules. The arbitrator's decision will be final and binding.

10.4 Class Action Waiver

YOU AND REFLECTRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Unless both you and Reflectro agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

10.5 Time Limitation

You agree that any claim or cause of action arising out of these Terms or the Services must be filed within one (1) year after the claim arose. Otherwise, such claim is permanently barred.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and Reflectro regarding the Services.

11.2 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other corporate restructuring without restriction.

11.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

11.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Reflectro.

11.5 Language

These Terms are written in English and shall prevail over any translations provided for convenience. In the event of any conflict between the English version and a translation, the English version controls.

11.6 Notices

We may provide notices to you via email, in-app messages, or by posting on the Platform. You agree that electronic notices satisfy any legal requirement for written notice. Notices to Reflectro should be sent to reflectroteam@gmail.com.

11.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations when using the Services. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.
